1. Definitions and Interpretation

1.1 Definitions

• “Account” means your registered user account on the Platform.
• “Agreement” means these Terms of Service, together with our Privacy Policy and any other policies referenced herein.
• “Company,” “BitaSei,” “we,” “our,” or “us” means BitaSei Technologies Limited, RC Number 9278400, registered office at 8B, Obadare Street, Amuwo Odofin, Lagos State, Nigeria.
• “Platform” means our website (www.bitasei.com), web application (app.bitasei.com), mobile applications, and all related software, tools, and services.
• “Services” means all educational content, courses, paper trading simulations, AI-powered features, trading signals, On-Site Training, and any other services provided through the Platform.
• “Subscription” means your paid access to premium features of the Platform under a selected plan.

2. Acceptance of Terms

2.1 Binding Agreement

By creating an Account, accessing, or using any part of our Services, you: (a) confirm that you are at least 18 years of age; (b) agree to be bound by these Terms of Service and our Privacy Policy; (c) represent that you have the legal capacity to enter into this Agreement; and (d) acknowledge that you have read and understood the disclaimers and limitations of liability contained herein.

2.2 Modifications to Terms

The Company reserves the right to modify, amend, or update these Terms at any time. Material changes will be communicated via email or through prominent notice on the Platform. Your continued use of the Services following any modification constitutes acceptance of the revised Terms.

3. Account Registration and Security

3.1 Eligibility

To create an Account, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into binding contracts; (c) not be prohibited from using the Services under applicable law; and (d) provide accurate, current, and complete information during registration.

3.2 Account Responsibilities

You are solely responsible for: maintaining the confidentiality of your login credentials; all activities that occur under your Account; ensuring your Account information remains accurate and up-to-date; and immediately notifying the Company of any unauthorized access.

3.3 Prohibited Account Activities

You shall not: create more than one Account without prior written consent; share, transfer, sell, or assign your Account to any third party; use another person's Account without their express authorization; or provide false or misleading information during registration.

4. Description of Services

4.1 Educational Content

BitaSei provides trading education through structured courses, video lessons, written materials, quizzes, assessments, and certifications covering Forex, cryptocurrency, stock market trading, technical analysis, fundamental analysis, risk management, and trading psychology.

4.2 Paper Trading Simulation

Our paper trading simulator allows you to practice trading strategies using virtual funds with real-time or delayed market data. You acknowledge that: paper trading results are hypothetical and do not guarantee similar performance in live trading; virtual funds have no monetary value and cannot be withdrawn; and simulated trading does not account for all factors affecting live market trading.

4.3 AI-Powered Features (Sei AI)

Our AI-powered features provide automated analysis of your trading behavior, patterns, and market conditions. These features are tools for educational insight and self-improvement, not financial or investment advice. They may not always be accurate and should not be relied upon as the sole basis for any trading decision.

4.4 Trading Signals

Trading signals provided through the Platform are for informational and educational purposes only. Past signal performance does not guarantee or indicate future results. The Company does not guarantee the accuracy, timeliness, or profitability of any signal. You are solely responsible for any trading decisions you make based on signals.

4.5 On-Site Training

The Company may offer in-person training programs, workshops, bootcamps, and seminars at designated locations. On-Site Training is subject to availability, separate registration and payment requirements, and specific terms communicated at the time of enrollment.

5. Subscriptions and Payment Terms

5.1 Subscription Plans

The Company offers various subscription plans including: Free Plan (limited access at no charge); Monthly Plan (recurring monthly); Quarterly Plan (recurring quarterly); Annual Plan (recurring yearly); Lifetime Plan (one-time payment for perpetual access); and On-Site Training Packages (separate payment for in-person programs).

5.2 Pricing and Currency

All prices are displayed in the currency applicable to your selected payment method (Nigerian Naira or US Dollars). Prices are exclusive of applicable taxes. The Company reserves the right to change pricing at any time with reasonable notice. Price changes will not affect active subscriptions until the next renewal period.

5.3 Payment Processing

Payments are processed securely through Paystack (for Naira payments) and Stripe (for USD payments). The Company does not store full credit card numbers on its servers.

5.4 Recurring Billing

Paid subscriptions (excluding Lifetime Plans) are billed in advance on a recurring basis and will automatically renew unless cancelled. If payment fails, the Company may suspend access to premium features until payment is received.

5.5 Subscription Cancellation

You may cancel your subscription at any time through your Account settings or by contacting support@bitasei.com. Cancellation takes effect at the end of your current billing period. No partial refunds are provided for unused portions of a billing period.

6. Refund Policy

6.1 Monthly, Quarterly, and Annual Subscriptions

• Within 48 Hours of Purchase: If you request a refund within 48 hours of your initial subscription purchase AND have not accessed more than 10% of premium content, you may be eligible for a refund of 75% of the amount paid, less any applicable transaction fees.
• After 48 Hours: No refunds will be issued after 48 hours from the date of purchase, regardless of usage.
• Renewal Charges: No refunds will be issued for automatic renewal charges.

6.2 Lifetime Plan

• Within 14 Days of Purchase: If you request a refund within 14 days AND have not accessed more than 15% of premium content, you may be eligible for a refund of 70% of the amount paid.
• After 14 Days: NO REFUNDS will be issued for Lifetime Plans after 14 days from the date of purchase.

6.3 On-Site Training Programs

• More than 14 Days Before: Full refund less a 10% administrative fee.
• 7 to 14 Days Before: Refund of 75% of the amount paid.
• Within 7 Days: NO REFUNDS.
• No-Show Policy: Failure to attend without prior notice constitutes forfeiture of the entire payment.
• Company Cancellation: If the Company cancels, you receive a full refund or transfer option at no additional cost.

6.4 Refund Process

All refund requests must be submitted in writing to billing@bitasei.com. The Company will review requests within 7 business days. Approved refunds will be processed to the original payment method within 14 business days. The Company's decision on refund eligibility is final and binding.

7. Intellectual Property Rights

7.1 Company Ownership

All Content, materials, software, technology, and Intellectual Property available on or through the Platform are the exclusive property of BitaSei Technologies Limited or its licensors, protected by Nigerian and international copyright, trademark, patent, and other intellectual property laws.

7.2 Limited License

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, non-commercial educational purposes.

7.3 Restrictions

You expressly agree NOT to: copy, reproduce, or distribute any Content without prior written consent; record, download, or screen-capture video lessons; share, resell, or sublicense your Account or Content; reverse-engineer or decompile our software; or use automated tools to access or collect Content.

8. User Conduct and Prohibited Activities

You agree to use the Platform lawfully and ethically. You shall not engage in any activity that violates applicable law, infringes third-party rights, interferes with the Platform, or involves fraudulent, deceptive, threatening, or harassing behavior. Violations may result in warning, suspension, permanent termination, and/or legal action.

9. Disclaimers

Nothing on our Platform constitutes personalized financial, investment, or trading advice; a recommendation to buy, sell, or hold any financial instrument; or professional advice from a licensed financial advisor. Trading in financial markets involves substantial risk of loss. You should consult a qualified, licensed financial advisor before making any trading or investment decisions.

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BITASEI TECHNOLOGIES LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; TRADING LOSSES, INVESTMENT LOSSES, OR FINANCIAL LOSSES OF ANY KIND; OR DAMAGES ARISING FROM YOUR RELIANCE ON CONTENT, AI INSIGHTS, OR TRADING SIGNALS.

THE COMPANY'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF: (a) the total amount you paid to the Company in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) Fifty Thousand Nigerian Naira (₦50,000).

11. Indemnification

You agree to indemnify, defend, and hold harmless BitaSei Technologies Limited, its subsidiaries, affiliates, directors, officers, employees, agents, contractors, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: your use or misuse of the Platform; your violation of these Terms; your violation of any applicable law; or your trading or investment decisions and any resulting losses.

12. Account Suspension and Termination

12.1 Termination by You

You may terminate your Account at any time through Account settings or by contacting support@bitasei.com. Upon voluntary termination, you forfeit any unused subscription balance, and no refunds will be issued except as expressly provided in Section 6.

12.2 Termination by Company

The Company reserves the right to suspend or terminate your Account immediately, without prior notice or liability, for reasons including: breach of these Terms; fraudulent, illegal, or harmful activity; non-payment or repeated payment failures; extended periods of inactivity (more than 24 months); or discontinuation of the Services.

12.3 Effects of Termination

Upon termination, your right to access the Platform ceases immediately, all licenses terminate, and you remain liable for any obligations incurred prior to termination.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact the Company at legal@bitasei.com to attempt to resolve the dispute informally. The parties shall negotiate in good faith for at least 30 days before pursuing other remedies.

13.2 Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

13.3 Arbitration Option

At the Company's sole discretion, disputes may be referred to binding arbitration under the Arbitration and Mediation Act 2023 of Nigeria. Arbitration shall be conducted in Lagos, Nigeria, in the English language.

13.4 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding your use of the Services.

Severability: If any provision is found invalid or unenforceable, such invalidity shall not affect the validity of the remaining provisions.

Waiver: Failure of the Company to enforce any right or provision shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer your rights without the Company's prior written consent. The Company may assign its rights and obligations without restriction.

Force Majeure: The Company shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control.
